Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Five Minute Ads website and services (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Five Minute Ads lets you create and launch paid advertising campaigns on Meta (Facebook and Instagram) through a simplified interface, and manage the associated budget through a prepaid wallet. We build and activate campaigns on the Meta ad account you connect.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Meta connection and your responsibilities

To launch ads, you must connect your own Meta ad account and Facebook Page. You represent and warrant that:

• You own or are authorized to use the connected Meta assets.
• You maintain a valid payment method on your Meta ad account; Meta bills you directly for the actual ad spend.
• Your ads and creatives comply with Meta’s Advertising Policies and all applicable laws.

We are not responsible for ad disapprovals, account restrictions, or other actions taken by Meta against your account.

4. Fees and billing

The Service is free to create an account. We charge a platform fee of 20% on the actual ad spend of your launches. This fee is our only charge — there is no subscription or per-launch fee.

• Prepaid wallet. You fund a wallet in advance via Stripe. The minimum top-up is $50.
• Reservations. When you launch, we place a hold on your wallet for the planned spend plus applicable fees. We never authorize a launch your wallet cannot cover.
• Metering. As your ads deliver, we meter spend and apply the platform fee. Unused reserved funds are released back to your available balance when a launch ends.

5. Wallet and refunds

Wallet funds are non-cash prepaid credit usable only within the Service to fund ad activity and fees. Except where required by law, top-ups are non-refundable and wallet balances are credit-only and not withdrawable as cash. Platform fees already charged are non-refundable.

6. Acceptable use

You agree not to use the Service to:

• Violate any law or the policies of Meta or any third-party platform.
• Advertise fraudulent, deceptive, infringing, or prohibited content.
• Interfere with or attempt to compromise the security of the Service.
• Access the Service through unauthorized automated means.

7. Your content

You retain ownership of the creatives, copy, and other content you submit. You grant us a limited license to use, store, and transmit that content solely to operate the Service and launch your ads. You are responsible for having all rights necessary to use the content you upload.

8. Third-party services

The Service relies on third parties including Meta and Stripe. Your use of those services is subject to their respective terms. We are not responsible for the availability, actions, or policies of third-party platforms.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any advertising will achieve any particular result.

10. Limitation of liability

To the maximum extent permitted by law, Five Minute Ads will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or ad spend, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the platform fees you paid to us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold Five Minute Ads harmless from any claims, losses, or damages arising out of your ads, your content, your use of the Service, or your violation of these Terms or the policies of any third-party platform.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required to protect the Service or other users. Provisions that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.
